Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Thrive Forward Solutions LLC website, consulting services, training, coaching, navigation support, community initiatives, and any digital content or communications we provide ("Services"). By using our Services, you agree to these Terms.

1.Acceptance of Terms

By accessing our website, submitting an inquiry, purchasing a service, enrolling in a program, or otherwise engaging with Thrive Forward Solutions, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

2.Who May Use the Services

You must be at least 18 years old, or the age of majority in your jurisdiction, to enter into an agreement for paid Services. Youth programs are delivered through schools, caregivers, or authorized partners with appropriate consent.

3.Services We Provide

Thrive Forward Solutions may provide:

  • Consulting for nonprofits, businesses, and organizations
  • Marketing, brand, and digital strategy
  • Compliance, quality assurance, and accreditation support
  • Training, coaching, and facilitation
  • Navigation and community education
  • Program design, curriculum, and workforce development
  • Written deliverables, templates, audits, and reports

Specific scope, deliverables, timelines, and fees are defined in a written proposal, statement of work, invoice, or engagement agreement between you and Thrive Forward Solutions.

4.Not Legal, Medical, or Clinical Advice

Our Services are advisory, educational, and consultative. We are not your attorney, physician, therapist, accountant, or licensed clinician. Nothing on our website or in our Services constitutes legal, medical, clinical, tax, or financial advice. You are responsible for consulting appropriate licensed professionals before making decisions.

5.Payments, Invoices, and Refunds

  • Fees, payment schedules, and deposits are set in your agreement or invoice.
  • Invoices are due on the date stated; late balances may pause work.
  • Deposits and retainer fees are non-refundable once work has begun.
  • Chargebacks or disputed payments made in bad faith may result in suspension of Services and collection.
  • Refunds, when offered, follow our published Refund Policy or the terms of your written agreement.

6.Scheduling, Cancellations, and No-Shows

Sessions cancelled with less than 24 hours' notice, or missed without notice, may be billed at the full session rate or forfeited from a package, unless your agreement states otherwise.

7.Acceptable Use

When using our Services, you agree not to:

  • Violate any law, regulation, or third-party right
  • Harass, threaten, discriminate against, or endanger anyone
  • Attempt to access accounts, data, or systems without authorization
  • Introduce malware, scrape, or automate access to the site
  • Impersonate another person or misrepresent your affiliation
  • Share confidential materials from programs or trainings without permission
  • Record sessions, trainings, or meetings without written consent

8.Intellectual Property

All content on the Thrive Forward Solutions website and within our Services — including text, curricula, workbooks, facilitator guides, templates, frameworks, graphics, audio, video, logos, and trademarks — is owned by Thrive Forward Solutions LLC or its licensors and is protected by applicable law.

Taking Initiative, Taking Initiative Now, Taking Initiative Network, and related program names, curriculum, and materials are proprietary. You may not copy, resell, sublicense, publish, or adapt any of our materials without prior written permission.

When we deliver client work (reports, plans, brand assets, or similar deliverables), you receive a limited, non-exclusive license to use them for your internal or agreed purpose after full payment. Underlying tools, methods, and templates remain ours.

9.Confidentiality

We treat client information as confidential in accordance with our Privacy Policy and any signed agreement. You similarly agree not to disclose non-public information you learn about Thrive Forward Solutions, its facilitators, or other participants.

10.Third-Party Services

Our Services may reference or integrate third-party tools (payments, scheduling, hosting, email, analytics, learning platforms). We are not responsible for third-party terms, performance, availability, or content, and your use of those services is governed by their own terms.

11.Disclaimers

Services and website content are provided "as is" and "as available." To the fullest extent permitted by law, Thrive Forward Solutions disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not guarantee specific outcomes, funding, contracts, accreditation results, revenue, or program approvals.

12.Limitation of Liability

To the maximum extent permitted by law, Thrive Forward Solutions LLC, its owners, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities. Our total aggregate liability for any claim arising out of or related to the Services will not exceed the fees you paid to us for the specific Service giving rise to the claim in the twelve (12) months preceding the claim.

13.Indemnification

You agree to defend, indemnify, and hold harmless Thrive Forward Solutions LLC and its representatives from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

14.Termination

We may suspend or terminate access to the Services at any time for non-payment, violation of these Terms, safety concerns, or where continuing the engagement would compromise our professional standards. Sections intended to survive (payment, IP, confidentiality, disclaimers, limitation of liability, indemnification, and governing law) will remain in effect.

15.Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict of law rules. The parties will first attempt to resolve disputes informally. If unresolved, disputes will be resolved by binding arbitration administered in Los Angeles County, California, except that either party may seek equitable relief in court to protect intellectual property or confidential information. You and Thrive Forward Solutions waive any right to a jury trial or class action.

16.Changes to These Terms

We may update these Terms as our Services, technology, or legal obligations change. The updated version will be posted with a revised "Last Updated" date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
